Representative Matters

  • Drafted 2015 Proxy Statement for a publicly traded company and assisted company with comprehensive restructuring of its international subsidiaries, involving dozens of entities located in more than twenty-five countries for purposes of realigning ownership structure and intercompany indebtedness
  • Drafted documentation necessary in connection with physician integration efforts at a large University in the Southeast, involving the establishment of a new, multi-specialty practice plan and oversaw and managed all diligence related thereto
  • Assisted a $3.5 billion pharmacy benefits management company in its acquisition by a private equity fund involving complex regulatory matters related to pharmacy licenses and permits
  • Represented a Fortune 50 healthcare services company in connection with numerous acquisitions and divestitures, drafting stock and asset purchase agreements and related documentation
  • Assisted on numerous financing transactions as counsel to both lenders and borrowers
  • Represented financial institutions in connection with syndicated senior and subordinated secured and unsecured, asset-based, multi-currency, and cross-border transactions, and drafted credit agreements and ancillary loan documentation in connection with such financings
  • Drafted a broad array of corporate agreements, including physician employment and recruitment contracts, and asset purchase agreements, and drafted briefs and other responses to defend healthcare providers from state agency seeking to retract Medicaid payments
  • Advised business sections of company on compliance issues relating to various privacy and banking laws
