Overview

Ran Randolph is a seasoned commercial transactions attorney with nearly 40 years of experience representing buyers, sellers, borrowers, and lenders in complex M&A deals and financings across diverse industries. His unique perspective from all sides of transactions, combined with his experience as a creative problem-solver, enable him to navigate challenging deals that others might find difficult to complete, and his decades of representing companies through the full life cycle of their existence has earned him a reputation as a go-to general counsel for businesses.

Ran has successfully structured complex joint ventures and represented numerous sellers and buyers in M&A transactions involving private equity and strategic buyers.

His lending practice is particularly noteworthy, with extensive experience representing banks, bank syndicates, and non-traditional lenders in structuring and closing credit facilities ranging from working capital lines, to floor plan financing for auto dealers, to construction and development financing, to borrowing base facilities.

Additionally, he has guided financial institutions through complex regulatory matters, including securing Capital Purchase Program funds from the U.S. Treasury as part of TARP.

This extensive experience enables him to anticipate potential issues and structure deals that satisfy the commercial objectives of all parties while mitigating risk. Whether representing buyers, sellers, borrowers, or lenders, Ran's broad perspective, combined with his nuanced understanding of the essential interpersonal relationship aspect of transactions, make him particularly valuable in closing a deal where standard approaches may not suffice.

Ran also serves as general counsel to many companies, ranging from a large senior living community, to manufacturers, restaurants, self-storage operators, and landowners. Ran has a well-earned reputation as a trusted advisor to his clients.

Represented bank syndicate in $100,000,000 real estate-based borrowing base facility for regional homebuilder with multi-state operations

Represented senior lender in loans to regional transportation company as part of private equity recapitalization

Represented auto dealer in sale of multiple dealerships

Represented lender in extension of $98,000,000 of working capital, floor plan, and real estate loans to regional auto dealer

Represented lender in financing ESOP transaction for regional travel and cruise business

Served as general counsel to automobile finance company with $60,000,000 line of credit to purchase retail installment sales contracts on point of sale and bulk basis

Represented lender in restructuring loans to multi-unit hotel developer and operator as part of workout

Represented financial institution in securing CPP funds in exchange for preferred stock from U.S. Treasury as part of TARP
