Overview

Shannon M. McDonough counsels clients on complex corporate, securities, and transactional matters. She leverages her experience in M&A and securities offerings to help businesses navigate critical decisions and growth opportunities.

Shannon is an Associate in the firm’s Norfolk office and a member of the Commercial, Corporate & Public Finance, and Mergers, Acquisitions & Strategic Alliances practice groups, as well as the firm’s Securities Team. She advises clients on a variety of corporate matters, including general business law and corporate governance, commercial transactions, mergers and acquisitions, private equity, corporate finance, and securities offerings and regulation.

Shannon’s commercial practice includes contract review and negotiation, debt and equity offerings, joint ventures, entity formation and a full range of M&A transactions including public company mergers, private company acquisitions and dispositions, and strategic investments and alliances. She has worked on a variety of initial public offerings, private placements and secondary offerings for domestic and international companies listed on NYSE and NASDAQ.

She received her B.S.B.A. from The Catholic University of America and her J.D., cum laude, from American University. She is a former Kaufman & Canoles Summer Associate and a member of the firm’s Recruiting Committee.

Representative Matters

Represented a seller of thirteen major automobile dealerships with annual revenue of approximately $1.2 billion, including various operating companies and real estate holdings, in the sale of substantially all of its assets to a publicly traded company

Represented an asset management and investment advisory firm with over $5 billion of assets under management in the sale of substantially all of its assets to a strategic buyer

Represented a private equity-backed buyer in connection with acquisitions of a portfolio of heating ventilation and air conditioning (HVAC) product and service providers

Represented a recycling and waste management company with the sale of certain commercial and rolloff lines of business to the portfolio business of a publicly-traded company

Represented an independent insurance agency in the sale of its HSA, FSA and COBRA administration accounts to a full-service benefits administrator

Represented a medical and pharmaceutical strategic consulting group in the sale of its business to one of the nation’s largest providers of post-acute care

Advised several startup companies regarding entity formation and structuring, capital raising, and corporate governance and organization

Advised various companies in initial public offerings, private placements and secondary offerings of publicly held company securities
