Overview

Natalie Wang is a corporate securities attorney with over twenty years of experience in a wide array of corporate, securities, and commercial law matters in both public capital and private market spaces. She assists clients in securities offerings, securities regulatory compliance, cross-border mergers and acquisitions, commercial transactions, corporate compliance, and general corporate matters. A solution-oriented counselor advocating for clients’ best interests, she brings practical advice and problem-solving skills to guide clients navigating the evolving U.S. capital markets and securities regulations and executing corporate transactions to achieve their business objectives.    

Yan (Natalie) is Of Counsel in the firm’s Richmond office where she is a member of the firm’s Corporate & Public Finance Group and China Team. She has extensive experience in corporate, securities, mergers and acquisitions, commercial transactions, and general corporate matters. Her practice focuses on assisting companies based in Asia, especially in the greater China region, in raising capital from U.S. capital markets and through private placements, securities law compliance, stock exchange listings, as well as transactions in connection with operational expansions in the U.S. Her work spans industries and sectors including agriculture, cryptocurrency, construction materials, electric vehicle, fintech, food and beverage, household product manufacturing, investment banking, jewelry manufacturing and sale, medical services, platform finance, software and online gaming, pharmaceutical device and equipment, shipping services, warehousing and logistics, supply chain finance and management, among others.   

Natalie has advised corporate issuers and investment banks on various public offerings and private placements to raise capital for public companies. Natalie counsels public companies, boards of directors, senior management and shareholders with respect to securities law and regulatory compliance obligations. She assists international companies in mergers and acquisitions, divestitures and dispositions, corporate restructurings, commercial transactions, and a variety of corporate law matters.

Before joining Kaufman & Canoles, Natalie practiced corporate and securities laws with two U.S.-based global law firms in Washington, D.C. and Hong Kong, where she assisted clients in different industries in IPOs on the New York Stock Exchange and foreign stock exchanges with concurrent offerings in the U.S., securities law compliance, and a variety of corporate and commercial transactions. She has served as an in-house corporate counsel for a U.S. company with China operations in Reston, Virginia.

A native speaker of Mandarin Chinese, Natalie has a deep understanding of the business needs and challenges that many China-based companies face today. She brings a unique East and West cultural bridging perspective to her clients in cross-border financings and business transactions.
